UPDATED TERMS & CONDITIONS

of

SAFFRON & SAGE MEMBERSHIP

This notice serves as an official update to the Terms & Conditions governing your current relationship with Saffron & Sage, LLC, a California limited liability company. These updated Terms & Conditions apply to all non-medical services provided by Saffron & Sage, LLC and will supersede and replace any prior versions of your existing agreement 30 days from the date of this notice.

Please note: This update does not constitute a new agreement or purchase, and it does not alter the current effective date, renewal date, expiration date, or term of any existing membership. Your continued use of non-medical services following the effective date of this update will constitute your acceptance of and agreement to the revised Terms & Conditions.

SECTION 1

MEMBERSHIP SCOPE

1.1   Membership Options. Due to regulations, our Memberships must be billed to separate entities depending on the type of services you wish to receive with your membership. If you want to receive only Non-Medical Services, such as Massage Therapy, Breathwork and other non-medical services, then your Membership will be billed to Saffron & Sage, LLC, a California limited liability company. If you wish to receive both Medical Services and Non-Medical Services, then you will be billed in two (2) separate and equal transactions to Saffron & Sage, APC and to Saffron & Sage, LLC. The different Membership options and plans are as follows:

1.2   Membership Does Not Include:

(a) Emergency or urgent care. No emergency or urgent care is provided by Saffron & Sage and access via phone, email or text does not constitute urgent or emergent medical care or advice.

(b) Services by other companies or providers. The Membership does not cover services by other companies or other providers that Saffron & Sage may refer you to and those companies or providers not associated with Saffron & Sage.

(c) Recommended follow-up therapies or programs not offered by Saffron & Sage.

(d) Cost of diagnostic testing, injections, products, supplements, or herbal formulas.

1.3 Non-Transferable; Limited Addition of Authorized Individuals. Each membership is personal to the Member and may not be sold, transferred, assigned, or otherwise shared with any other person or entity. However, a Member may formally request to add an additional individual to their membership account, subject to Saffron & Sage’s sole discretion and approval process.

To be considered for addition, the proposed individual must:

  1. Complete the New Member Intake Form and Membership Application;

  2. Attend a Member Consultation with a Saffron & Sage practitioner or representative to assess appropriateness for care and alignment with the membership community;

If accepted, the individual must complete a member consultation, member onboarding, complete the member intake and execute a Member Agreement acknowledging and agreeing to comply with all policies, terms, and the Saffron & Sage Code of Conduct. All must be completed before accessing care and using credits.

The primary Member remains financially responsible for all charges and conduct associated with any added individual. Saffron & Sage reserves the right to deny any additional request, revoke access, or remove any individual from a membership if care cannot be appropriately provided, or if there is a violation of any policy, agreement, or applicable law.

This section shall be interpreted in accordance with the laws of the State of California and shall not be construed to create a right of assignment or transfer of membership outside the conditions expressly stated herein.

1.4   Age Requirement. By agreeing to these Terms & Conditions, the Member confirms that he/she/they are 18 years of age or older.

1.5   Health. The Member confirms that he/she/they does not suffer from health problems that would hinder exercise/activity or prevent him/her/them from engaging in exercise/activity, or that would be detrimental or adverse to the Member’s health, safety or physical condition if he/she/they did exercise or engage in particular activities. In case of any doubt, the Member shall seek advice by a Medical Doctor who should confirm the Member’s ability to exercise or engage in any particular activities involved with this membership. Saffron & Sage shall have no obligation to perform a fitness assessment, complete an intake form, or conduct any related evaluations to determine the Member’s physical condition.

1.6   Information from non-medical practitioners. Be advised that advice received from non-medical employees of Saffron & Sage LLC should not be considered medical advice or be relied on as anything other than opinion based on the experience of that employee and the limited information that you provided. You may as a part of your Membership be required to sign additional waivers regarding the same as well as waivers for Medical Services received through Gokani Medical APC dba Saffron & Sage, APC and its subsidiaries and partner companies.

1.7   Injury. The Member understands that any facilities or appointment location may involve the risk of injury. As such, the Member understands and voluntarily accepts this risk. The Member agrees that Saffron & Sage and Saffron & Sage’s Practitioners and other employees will not be liable for any injury or damage, including, without limitation, personal, bodily, or mental injury, economic loss, or any damage to the Member resulting from the negligence of Practitioners and their employees, officers, directors, shareholders, agents, and contractors. The Member is responsible to notify Practitioners prior to their appointment, class, workshop, or event of any physical injury or other condition affecting his/her/their ability to participate in programs offered by Saffron & Sage.

1.8   Photography and Social Media. The Member understands that Saffron & Sage captures images and videos to promote community and capture group experiences. The member grants permission for Saffron & Sage to use his/her/their image in any and all photography or video outside of private sessions.

The Member acknowledges that common areas of Saffron & Sage are public space and photography or videography taken in such space is permitted and granted to be used in marketing, social media, and otherwise as necessary by Saffron & Sage .

1.9   Insurance. The Member confirms that he/she/they holds the necessary insurances to cover any accident or training incident. Saffron & Sage shall not be subject to any claim, demand, or injury whatsoever with regard to the assessment of the Member’s health condition or for any injury arising out of the Member’s disability, impairment or ailment.

Further, the Medical and Non-Medical Services are intended to be services that are not covered by any private health insurance policy, private health plan or government program, including, but not limited to, Medicare/Medicaid, in which Member may be enrolled. You understand and acknowledge that the provision of services under this Agreement is not subject to any guidelines, restrictions or contracts established by health insurance companies, health maintenance organizations, hospital service organizations, or Medicare/Medicaid programs. Accordingly, you agree not to submit a claim to Medicare or any of the Health Insurance Plans for services under this Agreement, and acknowledge that no reimbursement will be provided under any of the same for the Membership Fee.

You understand that this Agreement is not an insurance plan, not a contract for health insurance, and not a substitute for health insurance or other health plan coverage (such as membership in an HMO).  It will not cover hospital services, or any services not included in the Membership’s Medical Services.  In the event of an emergency, Member will call 911 or the nearest emergency room, and follow the directions of emergency personnel. 

You understand that Saffron & Sage will not seek reimbursement for any of the Medical and Non-Medical Services or the Fee from any insurer or third-party payer, including but not limited to, Medicare/Medicaid, in which Member may be enrolled.

1.10 Privacy, Charting, Collaborative Care, and Data Consent. By signing this agreement, you acknowledge and consent to the following:

Charting and HIPAA Compliance:

You consent to Saffron & Sage, its affiliated group(s), and all associated providers, employees and agents the right to maintain clinical documentation (charting) of your services in compliance with the Health Insurance Portability and Accountability Act of 1996 (HIPAA), as well as any other applicable federal and state privacy laws. All medical records and communications are handled in accordance with HIPAA’s privacy and security requirements.

Collaborative Care and Communication Authorization:

Saffron & Sage operates as an integrative practice providing collaborative care through a team of licensed and non-licensed professionals. By participating in membership and receiving care, you expressly authorize all relevant providers and support staff—including but not limited to doctors, nurse practitioners, therapists, coaches, acupuncturists, bodyworkers, concierge, and operational staff—to communicate with one another as needed regarding your care for the purpose of ensuring quality, coordinated, and effective services.

Informed Disclosure:

You understand that:

Your health information may be shared internally among providers and staff involved in your treatment for purposes of diagnosis, care planning, service coordination, and treatment recommendations.

Access to your health information is limited to only those individuals whose involvement is necessary for your care or administrative support.

You may request restrictions on specific disclosures by submitting a written request to service@saffronsageliving.com

Data Collection and Use:

Saffron & Sage collects and tracks health, usage, and outcome data related to the services you receive. This data is used for quality assurance, clinical improvement, operational purposes, and research. Your data is de-identified and aggregated whenever possible to protect your privacy.

Research Participation and Release Consent:

You may be invited to participate in research, quality improvement studies, or case reports. By initialing below, you provide your voluntary consent to:

Allow Saffron & Sage to use your de-identified or identified data for research, clinical publications, white papers, presentations, and educational purposes.

Permit the use of your name, likeness, or case details in such publications or disclosures only with your explicit written approval.

Be contacted about participation in research or surveys related to your care.

Right to Revoke:

You may revoke your consent for collaborative communication or research participation at any time by submitting a written request to service@saffronsageliving.com. Revoking consent may limit some services or exclude you from participation in research activities.

By continuing as a member, you agree to the above terms and acknowledge that this collaborative care model and data tracking are core components of the services offered at Saffron & Sage.

1.11 Session Timing, Structure, and Credit Cost. Your scheduled session officially begins upon entering your treatment room. While many sessions are 60 minutes in length, some treatments may last up to 3 hours. The appointment time booked may not always reflect the full time necessary, as your session could finish earlier depending on your individual response to the treatment. 

Each session typically includes a brief intake conversation at the start, followed by hands-on treatment (averaging 45 to 50 minutes for a 60-minute session), and concludes with a brief outtake conversation with your Practitioner, which may occur in the treatment room, lounge or boutique area to complete your holistic healthcare experience. After your session, your Practitioner will prepare and sanitize the treatment room for the next client.

Treatments vary in cost and require between 1 to 7 credits per session. It is important to review the credit cost associated with each treatment before booking.

1.12 Service Credit & Product Policy. Service credits issued under your membership or service package apply exclusively to non-medical treatments that are booked as in-clinic appointments and performed by licensed practitioners or certified providers at Saffron & Sage. Credits do not apply toward the purchase of any retail products, including those recommended for post-treatment care or for ongoing daily or weekly use at home.

Products such as skincare, body care, herbal remedies, supplements, essential oils, and other wellness tools recommended to support your at-home regimen or extend the benefits of your in-clinic treatments are billed separately and must be purchased out of pocket.

I acknowledge and agree that:

Service credits are redeemable for appointment-based services only.

Product purchases are not eligible for payment using service credits.

It is your responsibility to cover any costs associated with recommended at-home products separately from your membership or service package.

SECTION 2

LIABILITY

2.1.  Member Liability. All Members of Saffron & Sage shall be liable for any property damage and/or personal injury caused by the Member at the Saffron & Sage premises or appointment location. It shall be the obligation of the Member to pay for any costs involved upon presentation of a statement thereof. The Member will be required to pay for all costs arising from any damages they cause to any property of Saffron & Sage or for personal injuries the Member is responsible for on Saffron & Sage property.

2.2   Waiver of Liability. By signing this agreement, I acknowledge that I am voluntarily choosing to participate in services, classes, programs, workshops, coaching, retreats, and events provided or facilitated by Saffron & Sage, either on-site or off-site.

I understand that the non-medical services provided by Saffron & Sage may include, but are not limited to:

Yoga and Meditation

Sound Healing (e.g., singing bowls, tuning forks)

Energy Therapy (e.g., Reiki, Cranial Sacral, Chakra Balancing)

Breathwork

Coaching & Counseling (e.g.’ grief counseling, somatic coaching, spiritual direction)

Massage Therapy and Somatic Bodywork

Fire Cupping & Gua Sha

Facials and Décolleté Treatments 

Chi Nei Tsang and Abdominal Massage

Personal Training & Movement Therapy

Red Light Therapy and other wellness technologies and amenities

I understand that these services are not medical in nature, are not intended to diagnose or treat any disease or condition, and are not a substitute for licensed medical or mental health care. I am solely responsible for seeking appropriate medical, psychological, or psychiatric care as needed.

I affirm that I am at least 18 years of age and legally permitted to participate in these services. I acknowledge that physical activity and wellness experiences may carry certain risks, including but not limited to: dizziness, fainting, injury, emotional discomfort, or allergic reactions to environmental stimuli (e.g., essential oils, incense, herbs).

I agree to communicate any limitations, sensitivities, or concerns with facilitators or staff before engaging in any activity. If I become pregnant, post-surgical, or experience any health-related changes, I will consult a physician and assume full responsibility for my participation.

I voluntarily accept full responsibility for any injury, illness, or adverse effects that may arise from participating in non-medical services at Saffron & Sage. I knowingly and freely waive, release, and discharge Saffron & Sage, its owners, managers, contractors, employees, facilitators, instructors, agents, and affiliates from any and all claims, liabilities, damages, or losses, including those arising from negligence, that may result from my participation.

2.3 Informed Consent. I consent to the following non-medical services provided by Saffron & Sage LLC. I understand the nature, benefits, potential risks, alternatives, and my responsibilities related to each service category and voluntarily agree to participate.

Yoga and Meditation

Description: Yoga and Meditation involve physical postures, breathing exercises, and mindfulness practices aimed at improving physical flexibility, mental clarity, and emotional calm.

Benefits: Reduces stress and promotes emotional balance, improves flexibility and physical strength, enhances focus and mental clarity, supports nervous system regulation, promotes better sleep quality, strengthens mind-body awareness, boosts immune function, fosters a sense of inner peace and calm, aids in trauma recovery and emotional processing, and encourages consistent self-care and spiritual connection.

Risks: Possible muscle strain, soreness, or emotional release.

Alternatives: Other forms of physical exercise or meditation techniques.

Patient Responsibilities: Inform the instructor of any health issues or injuries and practice within personal limits.

Consent: I voluntarily consent to participate in Yoga and Meditation sessions understanding the above.

Sound Healing (e.g., singing bowls, tuning forks)

Description: Use of vibrational instruments like singing bowls and tuning forks to promote relaxation and energetic balance.

Benefits: Reduces stress and anxiety, promotes deep relaxation and calm, supports nervous system regulation, improves sleep quality, enhances emotional release and processing, balances energy and chakras, fosters mental clarity and focus, elevates mood and emotional well-being, aids in meditation and mindfulness, and encourages a deeper connection to self.

Risks: Possible dizziness, discomfort, or emotional release.

Alternatives: Other relaxation or music therapies.

Patient Responsibilities: Disclose sensitivities to sound or neurological conditions.

Consent: I voluntarily consent to Sound Healing sessions with understanding of benefits and risks.

Energy Therapy (e.g., Reiki, Cranial Sacral, Chakra Balancing)

Description: Gentle touch or non-touch techniques aimed at balancing the body's energy systems.

Benefits: Promotes deep relaxation and stress relief, supports emotional healing and balance, enhances the body’s natural healing processes, balances energy flow and chakra alignment, improves mental clarity and focus, releases energetic blockages and trauma, strengthens immune function, restores a sense of inner peace and harmony, supports spiritual growth and awareness, and complements other medical and holistic therapies.

Risks: Temporary sensations such as warmth, tingling, or emotional shifts; not a substitute for medical treatment.

Alternatives: Other relaxation or bodywork therapies.

Patient Responsibilities: Inform practitioner of health conditions and discontinue if discomfort arises.

Consent: I consent to Energy Therapy and understand it is a complementary therapy.

Breathwork

Description: Guided breathing techniques designed to improve mental clarity and emotional well-being.

Benefits: Promotes emotional release and healing, reduces stress and anxiety, increases mental clarity and focus, enhances oxygenation and circulation, balances the nervous system, supports trauma processing and integration, boosts energy and vitality, deepens self-awareness and mindfulness, strengthens the mind-body connection, and facilitates access to altered states of consciousness for insight and transformation.

Risks: Possible lightheadedness or emotional discomfort.

Alternatives: Meditation or other relaxation techniques.

Patient Responsibilities: Communicate any distress during sessions.

Consent: I consent to participate in Breathwork sessions understanding associated risks.

Coaching & Counseling (e.g., grief counseling, somatic coaching, spiritual direction)

Description: Supportive services focused on personal growth, emotional healing, and spiritual guidance.

Benefits:  Enhances emotional resilience and coping skills, provides tools for stress and anxiety management, improves communication and relationship dynamics, supports goal setting and personal growth, deepens self-awareness and insight, helps navigate life transitions and challenges, fosters accountability and motivation, cultivates clarity and confidence, promotes mental and emotional well-being, and creates a safe space for reflection, healing, and transformation.

Risks: Emotional discomfort or distress; not a substitute for clinical mental health care.

Alternatives: Licensed psychotherapy or clinical counseling.

Patient Responsibilities: Seek clinical care for mental health disorders.

Consent: I consent to Coaching & Counseling services understanding their supportive, non-clinical nature.

Massage Therapy and Somatic Bodywork

Description: Hands-on manipulation of muscles and soft tissues to reduce tension and promote relaxation.

Benefits: Relieves muscle tension and reduces physical pain, promotes relaxation and stress relief, enhances circulation and lymphatic flow, supports nervous system regulation, improves posture and body awareness, helps release stored emotional trauma, increases flexibility and range of motion, boosts immune function, fosters mind-body connection, and supports overall physical and emotional well-being.

Risks: Possible soreness, bruising, or discomfort.

Alternatives: Other physical therapies or relaxation techniques.

Patient Responsibilities: Disclose medical conditions or injuries and communicate discomfort.

Consent: I consent to Massage and Somatic Bodywork understanding potential risks.

Fire Cupping & Gua Sha

Description: Fire Cupping uses heated cups on the skin; Gua Sha involves scraping to improve circulation and release tension.

Benefits: Improves circulation and lymphatic drainage, reduces muscle tension and inflammation, supports detoxification and immune function, promotes faster healing and recovery, alleviates pain and stiffness, releases stagnation in the body, enhances skin tone and texture, relieves sinus pressure and congestion, calms the nervous system, and supports overall energy flow and balance.

Risks: Temporary redness, bruising, or mild discomfort.

Alternatives: Other bodywork or massage therapies.

Patient Responsibilities: Inform practitioner of skin conditions or sensitivities.

Consent: I consent to Fire Cupping and Gua Sha treatments understanding risks.

Facials and Décolleté Treatments

Description: Skin care procedures including cleansing, exfoliation, massage, and product application on face and décolleté offered at Saffron & Sage may include a combination of the following techniques and treatments:

Cleansing, exfoliation, massage, and targeted product application on the face and décolleté.

Chemical peels, when appropriate, to support exfoliation, skin renewal, and targeted treatment outcomes. Chemical peels may involve the use of medical-grade acids or enzymes that result in temporary redness, peeling, or skin sensitivity.

By receiving skin care services, you acknowledge and consent to the use of these methods as recommended by your licensed provider. Your provider will assess your skin and determine the appropriate level of treatment based on your skin type, concerns, and overall treatment goals.

Benefits: Hydrates and nourishes the skin, improves skin tone and texture, reduces the appearance of fine lines and wrinkles, supports lymphatic drainage and detoxification, promotes collagen production, calms inflammation and soothes sensitive skin, unclogs pores and prevents breakouts, enhances natural radiance, stimulates cellular turnover, and provides a deeply relaxing and rejuvenating experience.

Risks: Allergic reactions, irritation, or sensitivity.

Alternatives: Other skincare treatments or products.

Patient Responsibilities: Disclose allergies and skin conditions.

Consent: I consent to Facials and Décolleté Treatments understanding risks.

Chi Nei Tsang and Abdominal Massage

Description: Gentle abdominal manipulation to support digestion, emotional release, and energy flow.

Benefits: Improves digestive function and relieves bloating, supports detoxification of internal organs, releases physical and emotional tension stored in the abdomen, enhances lymphatic and circulatory flow, reduces menstrual discomfort and supports reproductive health, strengthens the immune system, balances the nervous system, promotes deep relaxation and stress relief, improves postural alignment and core awareness, and encourages energetic balance within the body.

Risks: Possible discomfort or emotional release.

Alternatives: Other forms of abdominal or visceral therapy.

Patient Responsibilities: Inform practitioner of abdominal or pelvic health concerns.

Consent: I consent to Chi Nei Tsang and Abdominal Massage understanding risks.

Personal Training & Movement Therapy

Description: Customized exercise and movement sessions to improve fitness, strength, and mobility.

Benefits: Improves strength, flexibility, and endurance, enhances posture and alignment, supports injury prevention and rehabilitation, boosts energy and metabolism, promotes cardiovascular health, improves mobility and range of motion, increases body awareness and coordination, supports weight management goals, reduces stress and improves mood, and cultivates long-term physical resilience and confidence.

Risks: Risk of injury or strain.

Alternatives: Other fitness or rehabilitation programs.

Patient Responsibilities: Disclose health conditions and limitations; participate within capacity.

Consent: I consent to Personal Training and Movement Therapy understanding potential risks.

Red Light Therapy and Other Wellness Technologies and Amenities

Description: Use of red light wavelengths and other technologies to promote skin health and wellness.

Benefits: Improved skin healing and general well-being.

Risks: Temporary redness, eye sensitivity, or skin irritation.

Alternatives: Other dermatologic or wellness treatments.

Patient Responsibilities: Follow safety guidelines and disclose sensitivities.

Consent: I consent to Red Light Therapy and wellness technologies understanding associated risks.

2.4  Indemnification. I, on behalf of myself, my heirs, assigns, executors, legal representatives, and estate, agree to indemnify, defend, and hold harmless Saffron & Sage, and its owners, managers, independent contractors, facilitators, and staff from any and all claims, actions, causes of action, damages, costs, or liabilities, including legal fees, arising out of or related to:

My participation in any non-medical offerings or activities;

My failure to disclose pertinent information related to my health or wellbeing;

Any actions I take while participating in services, classes, or events, whether on-site or off-site;

Any damage to personal property or personal injury suffered while on premises or during travel/retreats.

This indemnity will remain in effect even after the conclusion of my services or termination of my relationship with Saffron & Sage.

2.5   Information Authorization. The Member understands and authorizes the use and disclosure of the medical information contained in Saffron & Sage documents to the subsidiaries of Saffron & Sage for the purposes of providing services and enhancing the Member’s experience at Saffron & Sage. The Member agrees to allow Saffron & Sage to exchange information with its subsidiaries and contract as necessary in order to fulfill the Membership services.  This information includes but is not limited to medical or personal information needed to properly service you, payment information, and other personal information disclosed to Saffron & Sage. This information will be kept confidential within Saffron & Sage and its subsidiaries, and the information may not be further disclosed without the Member’s permission. The Member understands that a person to whom records and information are disclosed pursuant to this authorization may not further use or disclose the information without the Member’s permission. The Member may revoke this authorization in writing at any time except if Saffron & Sage has already acted upon this permission. Revoking authorization to share this information will not affect information that has already been used or disclosed. Saffron & Sage and its subsidiaries will not disclose the name or identity of any patient other than in the course of fulfilling the membership services. Nothing in this agreement shall be considered a waiver of HIPAA rights that are otherwise required by law.

2.6   Personal Belongings. Saffron & Sage reviews all spaces where Members have access at the end of every night and should personal belongings be left behind Saffron & Sage does not take any responsibility for loss or theft of these personal belongings. Any items left on the premises will be kept for up to a 2-week period of time when possible and as a courtesy to Member.

2.7 Acknowledgment and Binding Effect. I acknowledge that I have read and fully understand this Non-Medical Waiver of Liability and Indemnification Agreement, and that it is binding upon me and my legal representatives. I understand that by signing, I am voluntarily giving up substantial legal rights.

This agreement shall be governed by and construed in accordance with the laws of the State of California. If any portion of this agreement is deemed unenforceable, the remainder shall continue in full force and effect.

By signing this agreement electronically or in writing, I represent that I am of sound mind, acting under my own free will, and that I agree to the terms stated herein.

2.8 Membership Eligibility and Minor Participation. Memberships are not allowed to be purchased by anyone under 18 years of age. Members who wish to include their minor child(ren) on their membership policy may apply to have them added. Both the member and any minor added to the membership must provide expressed written consent prior to receiving any services.

I understand that I must be 18 years of age or older to purchase a membership. No memberships will be sold to individuals under 18 years of age. Furthermore, no services will be provided to minors unless they are added to a member’s policy and have provided expressed written consent along with the consenting adult member.

2.9 No Guarantee of Outcomes. Saffron & Sage strives to provide high-quality services and experiences designed to support your wellness and personal growth. However, individual responses to non-medical treatments, therapies, and wellness services vary, and no guarantees or assurances are made regarding specific results, benefits, or outcomes. By signing this agreement, you acknowledge and accept that outcomes depend on many factors beyond the control of Saffron & Sage and its practitioners or staff.

2.10 Client Responsibility for Communications, Notifications & Account Management. By signing this agreement, you acknowledge and accept full responsibility for maintaining accurate and up-to-date personal and contact information on file with Saffron & Sage, including but not limited to:

Valid email address

Active mobile phone number

Current mailing address

Emergency contact name and phone number

You are responsible for enabling and reviewing all communications sent by Saffron & Sage, including but not limited to:

Appointment confirmations and reminders

Credit balance updates and expiration notices

Membership renewal or billing notifications

Service updates, policy changes, and account alerts

Saffron & Sage is not liable for missed communications due to:

Outdated or incorrect contact details

Messages routed to spam/junk folders or blocked by service providers

Inability to access or use the Saffron & Sage app

Failure to download, log in, or regularly check communication platforms

You are solely responsible for monitoring your credit usage, expiration dates, and scheduled appointments. This includes reviewing the terms of your membership, including auto-renewal timing, billing terms, and associated charges.

Saffron & Sage is not legally obligated to provide additional or alternative renewal reminders beyond standard electronic notifications. Failure to receive or act upon such notices will not exempt you from applicable fees or policies.

By continuing to engage in services or maintain an active or inactive membership, you agree to release Saffron & Sage from any liability related to miscommunication, missed notifications, or outdated contact information.

SECTION 3

CODE OF CONDUCT

3.1 Breach of Code of Conduct and Membership Terms. Any violation of this Code of Conduct, Membership Agreement, or Saffron & Sage’s policies and procedures may result in the immediate suspension or termination of membership without refund or credit. All members agree to uphold and adhere to the following terms and expectations when participating in Saffron & Sage programs, services, classes, or events:

(a) Members must wear clean, appropriate attire while attending services, classes, or events.

(b) Tipping of practitioners, coaches, instructors, or staff is strictly prohibited.

(c) No member may engage in behavior that is disruptive, hostile, threatening, or unsafe to staff, practitioners, or other members—either in person or online.

(d) Illegal, sexual, or offensive behavior is strictly prohibited and grounds for immediate termination.

(e) Members must treat all staff, facilitators, and fellow members with courtesy, respect, and professionalism.

(f) Discrimination or harassment based on race, age, gender, sexual orientation, disability, appearance, religion, or other protected categories is prohibited.

(g) Cell phone use is limited to texting. All calls must be taken at least 20 feet from the building. Phones must be on silent or turned off while on the premises.

(h) Members must maintain high personal hygiene standards.

(i) Alcohol is only permitted when explicitly provided by Saffron & Sage during special, permitted events.

(j) Soliciting Saffron & Sage staff or practitioners for external services, side employment, or unrelated opportunities is strictly forbidden.

(k) Shared areas must be kept clean; personal items must be removed promptly.

(l) Members are expected to behave with kindness and professionalism toward everyone in the space.

(m) Contacting team members or practitioners outside of official Saffron & Sage channels (e.g., via personal phones, social media, or personal email) is prohibited.

(n) Smoking, vaping, or use of tobacco products is not permitted within 20 feet of the premises.

(o) Consistently missing appointments, late cancellations, or no-shows without adequate notice will result in forfeited credits and possible termination.

(p) Members must complete the following before accessing services: Membership Intake Form, Application, New Member Consultation, and signed Member Agreement.

(q) All sales are final. Refunds and exchanges are not provided for any reason. Any attempt to reverse payment through a chargeback without legal justification is considered a material breach of this agreement.

(r) Members modifying or upgrading their membership must sign a new Member Agreement before receiving additional services.

(s) Non-Transferability with Limited Add-On Option: Memberships are non-transferable. However, members may request to add an individual to their membership. This requires completion of a Member Intake, Application, a New Member Consultation, and approval by Saffron & Sage. The primary member remains financially responsible for the added member. All added members must complete onboarding and sign the Member Agreement to access care.

Notice of Member Responsibilities and Termination Rights Under California Law:

Saffron & Sage is a California Limited Liability Company (LLC) that provides non-medical services, including but not limited to coaching, wellness experiences, lifestyle services, workshops, and classes. As such:

Membership is a private service agreement and does not constitute a medical relationship, health insurance, or guaranteed access to any specific outcome.

Membership does not entitle individuals to access or remain in programs or services if behavior is inappropriate, unsafe, abusive, or in breach of policies.

We reserve the right to suspend or terminate any membership or participant access without refund if the Member violates this agreement, engages in chargebacks, or exhibits conduct that jeopardizes the wellness and safety of the space.

All sales are final and processed according to clearly disclosed policies. By entering into this agreement, members waive the right to chargebacks or payment reversals except in the case of documented financial fraud.

Per California Civil Code § 1671(d), our late fees, forfeiture rules, and cancellation penalties are lawful liquidated damages agreed upon at the time of purchase.

Per California Business & Professions Code §§ 17200–17206, Saffron & Sage complies with all disclosure and fair business practice requirements, including transparency in pricing, membership terms, cancellation windows, and credit usage policies.

Members are solely responsible for maintaining an updated payment method on file. Declined payments result in immediate suspension of services. A late fee of 5% per day will be assessed after 48 hours of non-payment, until the balance is paid in full.

Once terminated for policy violation, members and any associated individuals on their membership will lose all access to the space, services, and future eligibility.

3.2 Contact with Practitioners and Staff Members. To maintain the integrity of our professional environment, protect the privacy of our team, and ensure consistent, safe care experiences for all Members, Saffron & Sage strictly prohibits unauthorized personal or professional contact between Members and its Practitioners or Staff Members outside the scope of services provided through Saffron & Sage.

All Practitioners and Staff Members engaged with Saffron & Sage, whether as employees or independent contractors, are bound by internal policies that prohibit communication or engagement with Members outside of the official channels and contexts established by Saffron & Sage. This includes any attempt to engage with them outside of scheduled services or outside the locations at which such services are officially delivered.

The following behaviors are strictly prohibited and constitute a breach of the Member Agreement:

Initiating or continuing communication with any Practitioner or Staff Member outside of the Saffron & Sage ecosystem via personal phone, social media, personal email, or other non-sanctioned communication channels.

Soliciting or hiring Practitioners or Staff Members for services outside of Saffron & Sage, regardless of compensation.

Offering employment, business proposals, referrals, or contracts directly to Practitioners or Staff Members outside of the Saffron & Sage structure.

Attempting to circumvent booking, payment, or service protocols by engaging Practitioners directly.

If a Practitioner or Staff Member communicates a boundary or declines contact outside the scope of services, they are doing so in accordance with our internal policies and contractual agreements. Any attempt to violate these boundaries—including pressure, manipulation, or retaliation—will result in immediate termination of your membership without refund. Access to all services, perks, and remaining credits will be revoked permanently.

Saffron & Sage reserves the right to pursue legal remedies under California Business and Professions Code §17200 et seq. (Unfair Competition Law), and applicable sections of the California Labor Code, including protections against employee interference and solicitation.

SECTION 4

APPOINTMENT POLICIES

The Member understands that the following policies govern appointments:

4.1 Cancellation, No-Show & Rescheduling Policy. To maintain fairness and ensure appointment availability for all Members, Saffron & Sage requires a minimum of 48 hours notice for any cancellations or rescheduling of services.

All appointment changes must be made by calling (619) 933-2340 or texting (646) 762-0592.

Appointment changes cannot be made via the app or email.

If a Member cancels or reschedules less than 48 hours in advance, the applicable service credit(s) will be forfeited and cannot be refunded or reassigned.

A $50 late cancellation or no-show fee per scheduled hour of services will be charged to the card on file for all membership tiers, except for Unlimited Members, who will be charged a $100 fee per scheduled hour.

Same-day bookings are considered final and confirmed and cannot be canceled or rescheduled. If canceled, the Member forfeits the service credit and will be charged the applicable fee.

4.2 No-Show Policy. Failure to appear for a scheduled appointment without the required 48-hour notice will result in:

Forfeiture of the full value of the scheduled service(s) and credit(s).

A $50 no-show fee per scheduled hour for all membership tiers.

A $100 no-show fee per scheduled hour for Unlimited Memberships.

All no-show fees are non-refundable and non-negotiable.

4.3 Tardiness Policy. Members are required to arrive at least 15 minutes prior to their scheduled appointment(s) to allow for check-in, preparation, and to receive the full benefit of their service.

If a Member arrives late, the session may be shortened accordingly and will end at the originally scheduled time.

No discounts, service extensions, or refunds will be provided for late arrivals.

Members who arrive more than 20 minutes late will be subject to a forced cancellation, and the full value of the appointment will be forfeited. A late cancellation fee will also be charged in accordance with this policy.

4.4 Refund Policy. Saffron & Sage maintains a strict no-refund policy for services and product purchases.

No refunds will be issued for services canceled with less than 48 hours notice or for missed appointments.

All retail product sales are final. Due to health, safety, and hygiene standards, no exchanges or returns are permitted on any retail or wellness products, including but not limited to supplements, herbal formulas, essential oils, topicals, or skincare.

Membership service credits (including accrued or gifted credits) are non-transferable and non-exchangeable, and must be used in accordance with the terms of your Membership Agreement.

4.5 Attendance and Sickness Policy. Members are responsible for attending appointments and sessions in good health. You must be free of any symptoms related to cold, flu, COVID-19, or other contagious illnesses upon arrival. Please take your temperature before coming in.

If you exhibit any symptoms of illness, entry will be denied, and any associated credits or fees for the appointment will be forfeited. Face masks or coverings are required on premises to protect the health and safety of all clients, members, and staff.

No refunds, rescheduling, or credit extensions will be provided for missed appointments due to non-compliance with this policy.

4.6 Contact & Enforcement. These policies are strictly enforced in order to protect clinical integrity and ensure equitable access to care for all patients.

By scheduling services through Saffron & Sage, you agree to these cancellation, tardiness, no-show, and refund policies in full.

SECTION 5

PAYMENTS AND MEMBERSHIP STATUS

5.1 Payment & Billing Policies. All purchases—including medical services, products, credits, and membership renewals and reloads—will be automatically charged to the card on file.

Payment is taken at the time of purchase or booking.

If a service requires multiple credits, the system will automatically deduct all available credits and charge your card for any additional credits needed to complete the booking.

Members are responsible for managing their available credits and appointments via the Saffron & Sage mobile app.

It is your responsibility to maintain a valid payment method on file. If your card is declined:

Access to care, member pricing, scheduling privileges, and benefits will be suspended immediately.

You must update your payment method and resolve the balance within 48 hours to avoid additional penalties.

A 5% late fee per day will be applied to any unpaid balance starting 48 hours after a failed payment attempt.

If payment is not received within 7 calendar days, additional administrative actions will be taken (see Section 5.3).

5.2 Pay-in-Full Memberships. Annual or Monthly Pay-in-Full Memberships must be paid in full upon signing this Agreement and are non-refundable.

Membership benefits begin on the Effective Date (see Section 5.7).

Renewal will occur automatically on the annual anniversary of the Effective Date, unless written cancellation notice is provided in accordance with Section 5.8.
5.3 Late Payments. If payment is not received within 7 calendar days of a failed payment attempt:

A 3% late fee may be applied in addition to the 5% daily late fee initiated at the 48-hour mark.

If the balance remains unpaid after 30 calendar days, your account will be considered delinquent, and:

The full remaining balance of the annual or monthly contract term will become immediately due.

A $150 administrative recovery fee will be assessed.

The Member may be referred to a third-party collections agency, and agrees to be liable for any collection fees or legal costs incurred by Saffron & Sage.

5.4 Membership Rate Adjustments. Saffron & Sage reserves the right to adjust membership rates.

A 5% annual increase will automatically apply on the anniversary of your membership start date.

In the event of any other pricing changes that impact your membership tier, Saffron & Sage will provide 30 days notice via email.

Members may choose to cancel their membership without penalty by providing written notice in accordance with Section 5.8.

5.5 Suspension or Termination of Membership. Saffron & Sage reserves the right to suspend or terminate a membership at any time if:

A Member violates the Code of Conduct.

A Member behaves in a manner that is disruptive, abusive, or unsafe to staff, other members, or providers.

A Member fails to maintain a valid payment method or pay dues as required.

Termination decisions are made at the sole discretion of Saffron & Sage in accordance with applicable state and federal laws.

5.6 Failure to Pay Membership Fees. Failure to maintain timely payment may result in:

Immediate suspension of access to care, booking privileges, and membership pricing.

Permanent termination of membership, at Saffron & Sage’s sole discretion.

Continued accrual of membership fees until the original contract period concludes, regardless of usage.

All amounts owed under this Agreement will remain enforceable under applicable California contract and debt collection laws.

5.7 Effective Date & Billing. This Agreement becomes effective on the date it is signed by the Member or on the date Saffron & Sage processes the initial payment, whichever occurs first (“Effective Date”).

Memberships are billed monthly or annually, depending on the plan selected.

Memberships are charged on the same calendar date each month or year as the date your credit card was initially charged when you signed up (the Effective Date).

For example, if your membership started and your card was charged on July 15, your next billing charge will occur on August 15, and subsequently on the 15th of each following month or year.

If your billing date falls on a weekend, holiday, or a calendar date after the 28th (e.g., the 29th, 30th, or 31st), the charge will be processed on the prior business day.

Memberships continue on a month-to-month or year-to-year basis, unless canceled per Section 5.8.

5.8 Membership Term, Renewal & Cancellation. All memberships are subject to a minimum commitment (“Initial Term”), unless otherwise stated in writing.

Monthly Memberships renew automatically each month on the same calendar date as the Effective Date and continue on a month-to-month basis after the Initial Term, unless canceled in accordance with the cancellation policy.

Annual Memberships renew automatically each year on the same calendar date as the Effective Date and continue on a year-to-year basis after the Initial Term, unless canceled in accordance with the cancellation policy.

If your billing date falls on a weekend, holiday, or a calendar date after the 28th (e.g., the 29th, 30th, or 31st), the charge will be processed on the preceeding business day or on the 28th, whichever comes first.

After the Initial Term, your membership will automatically renew on a monthly or annual basis, depending on your selected plan.

You may cancel your membership by providing written notice:

At least 7 calendar days before your next billing date for monthly memberships.

At least 30 calendar days before your renewal date for annual memberships.

Cancellation requests must be submitted in writing via:

Your cancellation will take effect on the next applicable billing cycle following your notice period. If a billing date falls within that notice period, the associated charge will still apply and will not be refunded.

5.9 Membership Upgrades, Downgrades & Tier Changes. Members may request to upgrade or downgrade their membership (e.g., from Nourish to Dwell, or Transcend to Dwell) subject to availability and approval by Saffron & Sage. All membership tier changes are treated as a new membership agreement, and the following terms apply:

Effective Date Reset: The date the tier change is processed will become the new Effective Date, and a new billing cycle will begin from that date.

Rate Adjustment: The member will be charged the current publicly available rate for the new membership tier at the time of the change. Legacy or prior rates will not carry over.

Plan Type Changes: Members switching from a monthly to annual plan or vice versa must do so at least 30 calendar days prior to their upcoming renewal date.

Minimum Term: All membership changes are subject to a new 12-month minimum commitment, unless otherwise stated in writing and approved by Saffron & Sage.

Credit Expiry: Any remaining unused credits from the prior membership tier must be used before the effective date of the new tier. Unused credits do not roll over, are non-refundable, and will be forfeited upon transition to the new tier.

5.10 Membership Credit Reloads & Credit Expiration. If a Member exhausts their service credits before the next scheduled membership renewal date, they may purchase single credits or reload credit bundles in increments of 12, 24, 48, or 96 credits. All reloads are subject to the following terms:

Active Membership Requirement: Additional single credit purchase and credit reloads may only be purchased and used while a member’s account is active and in good standing.

Credit Expiration Policy:

Saffron & Sage uses a credit-based system to provide flexibility in accessing services. Please review the following credit expiration guidelines:

Single Credit Purchases

Credits purchased individually or issued as part of standard monthly activity expire 30 days from the purchase date or the last day of active membership, whichever comes first. These credits are designed to encourage immediate booking and active engagement with care.

Reloaded Credits (12, 24, 48, 96)

Credits purchased in reload quantities of 12 or more expire 12 months from the purchase date or the last day of active membership, whichever comes first. These extended-expiration credits are ideal for clients who wish to plan their care over a longer period.

Use of Membership Credits: All membership and reload credits must be used by the end of the current membership term—either the monthly or annual renewal date.

If a member cancels or allows their membership to lapse, all unused credits will expire and be forfeited as of the final day the membership is active.

No Refunds or Transfers: Credits, including reloads, are non-refundable, non-transferable, and not redeemable for cash or product in accordance with California consumer laws and Medical Board guidelines regarding pre-paid medical services.

No Rollover: Credits do not roll over from one term to the next, whether the member renews or not.

5.11 Payment Disclosure. Saffron & Sage accepts the following forms of payment for services, programs, and membership dues:

Credit and debit cards

Health Savings Accounts (HSA)

Flexible Spending Accounts (FSA)

Lifestyle Spending Accounts (LSA)

Health Reimbursement Arrangements (HRA)

Employer-sponsored wellness benefits (if applicable)

Important Notice: 

It is the sole responsibility of the Member to ensure that any payment method—particularly HSA, FSA, LSA, HRA, or employer/TPA-managed benefits—is used in accordance with all applicable laws, regulations, and plan-specific guidelines. Saffron & Sage does not provide tax, legal, or compliance advice and makes no representations regarding the eligibility of its non-medical services for reimbursement through such accounts.

Members are strongly encouraged to consult with their plan administrator, employer, tax advisor, or attorney to determine whether a particular service qualifies as a reimbursable wellness or preventive benefit before using these funds.

SUPERBILL REQUESTS FOR MEDICAL SERVICES

While Saffron & Sage does not bill insurance directly or guarantee reimbursement, Members who have received qualifying medical services through our affiliated licensed medical professionals may request a superbill for potential insurance or employer reimbursement.

All requests for superbills must be submitted in writing to service@saffronsageliving.com.

Superbills are available only for medical services already rendered.

Please allow up to 45 calendar days from the date of request to receive your documentation.

Superbills may include:

Note: A superbill is not a guarantee of reimbursement. It is the Member’s responsibility to verify benefit eligibility and submit documentation to their insurance or benefit plan.

5.12 Advance Notice of Material Changes & Confirmation of Consent. Saffron & Sage will notify you via email at least 7 days (and no more than 30 days) before any material changes to membership terms, pricing, or policies take effect.

Confirmation of Consent

By becoming a member and submitting payment, you:

Provide express, written consent to enroll in a recurring, auto-renewing membership.

Acknowledge that you have read, understood, and agreed to the terms of this Membership and Auto-Renewal Disclosure.

Understand that you may cancel your membership at any time after the initial term, subject to the 30-day notice requirement for annual auto-renewal contracts and 7-day notice requirement for monthly auto-renewal contracts. 

SECTION 6

CONTRACTING TERMS

6.1   Governing Law. This agreement shall be governed by and construed in accordance with the laws of the State of California and Parties exclusively elect San Diego, California to be the place of jurisdiction.

6.2   Fair Market Value. Saffron & Sage believes that the Membership pricing represents fair market value of the services contemplated hereunder; is not determined in a manner that takes into account the volume or value of any referrals or business otherwise generated between the parties for which payment may be made, in whole or in part, under Medicare or any state health care program, as defined under Section 1128B of the Social Security Act; and does not involve the counseling or promotion of a business arrangement or other activity that violates any state or federal law. Nothing contained in this Agreement, including any compensation paid or payable, is intended or shall be construed: (i) to require, influence, or otherwise induce or solicit either Member or Saffron and Sage regarding referrals of business, or recommending the ordering of any items or services, of any kind whatsoever to the other party or any of its affiliates, or to any other person, or otherwise generate business between Member and Saffron & Sage; or (ii) to interfere with a patient’s right to choose his or her own health care provider, or with a physician’s medical judgment regarding the ordering of any items or services.

6.3 Modification.  No modification, termination, or attempted waiver of this agreement, or any provision thereof, shall be valid unless in writing signed by the party against whom the same is sought to be enforced.

6.4   Intellectual Property. Saffron & Sage’s copyrighted and original materials will be provided to you for individual use only and a single-user license. You are not authorized to sell any of Saffron & Sage’s intellectual property for your own business purposes. You are not authorized to share, copy, distribute, or otherwise disseminate any materials received from Saffron & Sage. All intellectual property, including Saffron & Sage’s copyrighted materials, shall remain the sole property of Saffron & Sage. No license to sell or distribute Saffron & Sage’s materials is granted or implied.

6.5  Notices and Communications. Any communication required or permitted to be sent under this Agreement shall be in writing and sent via U.S. mail or email to the addresses set forth in this Agreement. Any change in address shall be communicated in accordance with this section; and you are solely responsible for updating Saffron & Sage with respect to any change of address (including email address).

If you wish to send email communications to and receive email responses from Saffron & Sage, you acknowledge that email is not a secure medium for sending and receiving sensitive information, including protected health information. You also acknowledge and understand that an email or secure message in any form is not a good medium for urgent or time-sensitive communications.

6.6   Waiver. Any waiver by any Party of a breach of any provision of this Agreement shall not operate as or be construed as a waiver of any other breach of this Agreement. No failure or delay by either Party in exercising any right, power or privilege shall operate as a waiver nor shall any single or partial exercise preclude any other or future exercise or the exercise of any other right, power or privilege. The rights and remedies in this Agreement shall be cumulative and not exclusive of any rights or remedies provided by law.

6.9   Force Majeure. Saffron & Sage will not be liable for failure to perform any of its contractual obligations under this Agreement during any period in which the Company cannot perform due to matters beyond their control, including, but not limited to, power outage, strike, fire, flood, or other natural disaster, war, or riot.

6.10  Limitations on Liability. EXCEPT WITH RESPECT TO A CLAIM FOR INDEMNIFICATION OR A BREACH OF THE CONFIDENTIALITY OBLIGATIONS, IN NO EVENT WILL A PARTY BE LIABLE TO THE OTHER FOR ANY SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS) ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, WHETHER OR NOT SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE. Saffron & Sage’s liability hereunder shall be limited to the aggregate fees paid to Saffron & Sage by you for the Membership until termination. Saffron & Sage has no liability to you for any incidental and consequential damages, whether or not foreseeable or contemplated by Membership (including but not limited to any loss, cost, injury, or expense caused by, or resulting from, a delay in responding to Member, whether from technical failures or otherwise).

6.11   Disclaimer of Guarantee. Member accepts and agrees that Member is 100% responsible for progress and results from the Membership. Saffron & Sage makes no representations or guarantees verbally or in writing regarding performance of this Agreement other than those specifically enumerated herein. Although Saffron & Sage aims to enhance overall health and wellness which can lead to good outcomes, Saffron & Sage makes no guarantee or warranty that the Membership will meet your requirements or that all participants will achieve the same results, or any particular result.

6.12   Agreement Not Enforceable by Non-Parties. Except where expressly stated otherwise in this Agreement, a person who is not a party to this Agreement has no rights to enforce any term, condition, or provision of this Agreement.

6.13  Entire Agreement. This Agreement sets forth the entire agreement and understanding of the Parties in respect of the subject matter contained herein, and supersedes all prior agreements, promises, covenants, arrangements, communications, representations or warranties, whether oral or written, relating to the subject matter herein.

Acknowledgment and Agreement

I certify that I have carefully read this entire form, which is printed in English. I acknowledge that English is a language I read, speak, and understand. I further confirm that I have had the opportunity to ask questions and have received satisfactory answers about the contents of this document. I do not feel rushed, coerced, or impaired in any way, nor am I under the influence of any sedative, medication, or substance that would impair my ability to comprehend this form.

I voluntarily accept and agree to all the terms and conditions set forth herein. No representations, statements, or inducements, whether oral or written, other than those expressly contained in this document, have been made to me.

I understand that I have the right to request and receive a complete copy of these updated terms and conditions at any time, and that a copy will be provided to me upon request without charge.

By continuing to engage in services, use accrued credits, access to the Saffron & Sage app, or maintain an active membership with Saffron & Sage after the effective date of this update, I acknowledge that I have been notified of the updated Terms & Conditions and agree to be legally bound by them. This includes my acceptance of any revised policies, procedures, disclaimers, and consents incorporated herein.

Your continued participation constitutes a binding agreement to comply with all current and future provisions, and waives any claim that prior versions of the Member Agreement remain in effect beyond the supersession date specified above.

HIPAA and Privacy Notice:

I acknowledge that I have been provided with or offered the Notice of Privacy Practices, which explains how my protected health information (PHI) may be used or disclosed by this practice and how I can access this information. I understand that this practice maintains medical records in compliance with California and federal law, including HIPAA, and that my health information will be kept confidential except as required or permitted by law. I consent to the use and disclosure of my PHI for treatment, payment, and healthcare operations as described in the Notice of Privacy Practices.

California Consumer Rights:

I understand my rights under California law regarding consumer protection, including the right to cancel any membership or agreement in accordance with the terms provided, and the right to fair billing practices. I acknowledge that I have received clear disclosures about membership terms, billing, cancellation policies, and any auto-renewal provisions applicable.

If any provision or part of this agreement is found to be invalid, illegal, or unenforceable under applicable California law, such invalidity will not affect the remaining provisions, which will remain in full force and effect.
